We are looking for Nominee Directors with faultless public record to join our Compliance panel in Singapore.
Responsibilities:
- Serve the statutory duty of signing board resolutions for all reasonable and lawful directions given by each client as validated and executed by Our team.
- Sign documents raised within 24 hrs or raise queries for information as needed.
- Maintain your residence in Singapore and keep us up to date on any upcoming plans on change of residency including within Singapore.
- Maintain a clean public record and not commit any act or omission that shall disqualify one from being a director under the Companies Act
- Act honestly and in good faith, to avoid conflict of interest, exercise care, skill and diligence and not misuse powers and information on behalf of any client.
- Use your best efforts to comply and act in accordance with your legal obligations and duties as a nominee director at all times.
- Occasionally attend a physical board meeting if the foreign directors of the client company are in town and request one.
- Occasionally attend a physical meeting with representatives of traditional banks (UOB, OCBC, DBC, SCB, etc) should the client need to open a bank account.
Requirements:
- Understanding of Companies Act Cap 50, ACRA Regulations and duties of Directors.
- Past working experience in a corporate, professional environment
