Job Summary
Heading the Legal function for DKSH entities in Thailand, you will lead the team in managing the resolution of all in-house legal matters. You will also be a part of the Country Management Team for DKSH Thailand. General Responsibilities
Collaborate with the VP Head of Legal and the General Counsel in all Legal matters in the area of responsibility
Manage legal matters/documentations and resolution of legal matters including but not limited to maintenance and update of all data, documents and information in relation to the corporate existence, and compliance with relevant corporate and compliance laws and regulations of all legal entities (subsidiaries, branch and representative offices) domiciled in Thailand
Manage departmental operating budgets and costs according to annual allocation to ensure efficient usage of resources, where applicable
Manage contract review and advice, drafting and negotiation based on standard templates (if any) or based on DKSH Contract Manual (including maintenance and monitoring thereof) in cooperation with Business and Finance Manager in charge
Provide legal support in relation to all legal questions arising from daily business and local operations
Advise on corporate/commercial/capital market/intellectual property (IP)/competition/labor/M&A and Compliance laws, etc., including governmental/administrative procedures to manage business legal implications
Manage and implement M&A and Capital Market projects (incl. drafting of transaction documents and due diligence) processes and activities within the area of responsibility to enforce a structured approach to legal management
Manage litigations/arbitrations, interactions with external legal counsels and represent the company in legal proceedings (as needed) to ensure DKSH's interests are well protected
Investigate, prepare reports and highlight any legal risks, including recommendations to mitigate risks from a country perspective
Manage and execute legal projects to ensure areas needing change and improvement are acted upon
Manage interactions with the government on legal matters, including but not limited to corporate registration, licensing, state documentations, approvals, etc.
Partner with internal stakeholders on all legal matters. Develop understanding of financial, tax, compliance processes, etc. to enhance the quality of legal advice given
Build and maintain long-term relationships with external legal advisors/legal community to keep up-to-date with laws, regulations and best practices
As member of Country-Management-Team (CMT), minute-taker for CMT meetings
Perform any legal task as requested by the VP Head of Legal or the General Counsel Functional Skills and Knowledge
Demonstrate sound knowledge and understanding of the business and industry
Demonstrate sound knowledge of corporate law, contract, litigation and commercial law, including country-specific laws
Demonstrate fluency in English (both written and spoken). Proficiency in any other language is an additional asset
Demonstrate appreciation and respect for cultural sensitivities especially in cross-country/culture interactions
Demonstrate ability to handle highly sensitive and confidential information with integrity
Demonstrate knowledge of the law within the cultural/legal framework of countries Education
Law Bachelors and/or Masters degree from a top-tier local university
Admission to Bar is an additional asset Work experience
Minimum 15years' total working experience with at least seven years in a similar role
Minimum five years’ experience in a managerial capacity
Experience practicing law in a law firm wi
