*Legal Counsel *to join the scaling and growing in-house Legal Team.

This is a unique opportunity for an energetic and proactive lawyer to join a small legal team supporting a global company. Reporting directly to the VP, Legal, the Legal Counsel will assist with the day-to-day management of the legal department.

As a true team player, you will play a key part in building out the legal function with room for upward development. This role presents a great opportunity for growth in the commercial transactions practice.

You will contribute to Caseware’s strategic growth by being a true partner for our Commercial and Business teams and assist them in complex contract negotiations. You will also collaborate with security and compliance teams, ensuring our products and services are being developed in a secure and compliant way.

Examples of topics you’ll be expected to contribute to:

  • Negotiate complex Product and Service/SaaS agreements and data processing agreements;
  • Review vendor agreements and advise the business in mitigating risks;
  • Assist and support on all privacy and data protection-related matters;
  • Assist is maintaining corporate records and structure charts for Global entities;
  • Be a true business partner to different teams and manage various legal requests (HR, corporate, etc.)
  • You will contribute to building a transparent and business-enabling Legal function, in line with Caseware’s value Many Voices, One Team.

What you will be doing:

  • Independently draft, review, and negotiate a broad range of commercial agreements and related documents, including customer license agreements, vendor contracts, non-disclosure agreements, and partnership agreements.
  • Provide practical and timely advice to different lines of the business including the Finance, People Ops, Information Security, and Compliance Teams.
  • Support and build relationships with a highly interactive Commercial Sales Team.
  • Assist the VP, Legal with developing, administering, and interpreting CaseWare’s policies and procedures.
  • Support the continuous improvement of the legal function by building processes to promote efficiency and collaboration.

What you will bring:

  • Must be a member in good standing of the Law Society of Ontario.
  • A Bachelor of Laws degree (LL.B) and/or Juris Doctor (J.D.) degree.
  • A minimum of 3 years of experience working in Privacy, IT and technology advisory at a law firm or in-house at a technology/SaaS company, working with product and sales teams.
  • Experience managing files independently, including reviewing and drafting commercial contracts, SaaS, and other technology-related agreements.
  • Excellent client relationship and communication skills and the ability to work with a variety of people with varying degrees of legal exposure.
  • Must be comfortable with ad-hoc requests, meeting short timelines, and handling multiple projects simultaneously.
  • Experience with privacy compliance, including GDPR, PIPEDA, and CCPA strongly preferred.
  • Problem solving mindset and can do/get it done attitude is key!
  • Openness to feedback and eagerness to learn and grow.
  • Most excited when having to think very pragmatically about risks, and understand business priorities. Exercising business judgment to deliver practical and pragmatic solutions when the “right” legal answer is not crystal clear!
